GENLOGS FOR CARRIERS — BETA
Carrier Terms of Service
Effective Date: [●], 2026; Version: 0.1 (Beta)
Welcome to GenLogs for Carriers. These Carrier Terms of Service (these “Terms”) are a contract between GenLogs Corporation (“GenLogs,” “we,” “us” or “our”) and the motor carrier that creates or uses a GenLogs carrier account (“you”). They govern your use of the GenLogs Platform (the “Platform”).
Brokers use GenLogs to see which carriers are real, active and insured. The Platform lets you take part in that directly: claim your company’s profile, complete onboarding once for the brokers that invite you, and sign their agreements in one place. The Platform is in beta. It is new, it will change, and we want your feedback as we build it.
By checking the acceptance box and creating an account, you agree to these Terms on behalf of the motor carrier you represent. If you do not have authority to bind that carrier, or you do not agree to these Terms, do not create an account.
Quick Summary of These Terms
This summary is provided for convenience. It describes how the Platform generally works as of the effective date; details may change during beta testing and after it. The full Terms below control if there is any inconsistency.
What we ask of you: Be who you say you are. The person opening the account verifies their identity with a government ID and a selfie. Give us accurate information and genuine documents, keep your profile current, make sure you have the right to share the contact details of the people you list, and, if you connect your ELD, make sure your drivers have any notice they are owed.
What you get: One profile and one onboarding that works across the brokers that invite you, the ability to see and correct the information you have given us, and a channel to ask us to review anything else on your profile you think is wrong.
About your information: What you add to the Platform, such as documents, your W-9 and the vehicle list from a connected ELD, you license to us, and you direct us to share it with the brokers that invited you. Your profile information also appears to other GenLogs customers. We never share your login, your ID images or selfie, or your biometric data with anyone. Face verification is covered by a separate Biometric Notice and Consent, and our handling of personal information is described in our Privacy Policy and its Carrier Onboarding Supplement.
About brokers: A broker’s agreement is between you and that broker; we host it but are not a party to it, and we do not guarantee that any broker will work with you. Brokers’ notes about you are theirs. Our scores and verification results are our opinion, not a guarantee, and not a consumer report.
About liability: The Platform is provided as is. Our liability to you is capped at US$100, except for our gross negligence, willful misconduct or fraud, and claims must be brought within one year. You cover us for claims arising from false or altered documents you provide.
About the beta and changes: We may change, limit or withdraw any feature, and may end the beta or your participation in it. We may update these Terms with 30 days’ notice for material changes; continuing to use the Platform after a change takes effect means you accept it.
Governing law and disputes: Delaware law. If we have a dispute, we will try to work it out informally first. Anything that cannot be resolved that way goes to binding individual arbitration by videoconference by default. No class or representative actions, and both of us waive a jury trial.
CARRIER TERMS
SECTION 14 (DISPUTES) REQUIRES INDIVIDUAL ARBITRATION AND WAIVES JURY TRIALS AND CLASS ACTIONS.
1. Agreement
1.1 Acceptance. You accept these Terms by checking the acceptance box and creating an account.
1.2 Authority. The individual who accepts these Terms represents that they are at least 18 years old, that they are an owner, officer, employee or authorized agent of the carrier identified by the USDOT number on the account, and that they have authority to bind it. If you are a sole proprietor, you accept these Terms for yourself and for your business.
1.3 Electronic Transactions. You agree to receive agreements, notices and records electronically, and that your electronic signatures and clicks on the Platform have the same effect as handwritten signatures.
1.4 Privacy. Our Carrier Onboarding Privacy Supplement and Privacy Policy at genlogs.io/legal/privacy describe how we handle personal information. They are not part of this contract.
1.5 Biometric Notice. Identity verification that uses your face is governed by our Biometric Notice and Consent, which you accept separately. If it conflicts with these Terms on biometric data, it controls.
1.6 Other GenLogs Terms. GenLogs’ Terms of Service at genlogs.io/legal/terms govern the GenLogs website and the services GenLogs provides to its subscribers. For your carrier account and the Platform, these Terms control if the two conflict.
2. Your Representations
You represent and warrant, when you accept these Terms and each time you use the Platform, that:
(a) you hold active operating authority or registration with the Federal Motor Carrier Safety Administration (“FMCSA”) under the USDOT number on your account, and any MC number you list is yours;
(b) you have the insurance you represent on the Platform, in force as stated;
(c) the information you provide is true, accurate and complete, and every document you upload or sign is genuine and unaltered;
(d) you control the USDOT number on your account and have the right to claim and maintain its profile;
(e) you have the rights needed to provide the information you provide and to grant the rights in Section 5 (Information About Your Business), including authority to share the contact details of the individuals you list; and
(f) if you provide, or authorize us to receive, information about your drivers, you have given them any notice and obtained any consent the law requires.
You will keep your profile current.
3. Your Account
3.1 Acceptable Use. You will not: (a) provide false or misleading information, or impersonate any person or carrier; (b) claim a profile for a USDOT number you are not authorized to represent; (c) access or attempt to access another carrier’s information; (d) scrape or use automated means to access the Platform; (e) reverse engineer, interfere with or circumvent the Platform’s security; (f) upload anything unlawful or infringing; or (g) use the Platform in violation of law or these Terms.
3.2 Security. You are responsible for all activity under your account, including by users you add. Keep your credentials secure and tell support@genlogs.io promptly of any unauthorized use.
3.3 Verification. The person opening the account must verify their identity with a government-issued ID and a live selfie under the Biometric Notice and Consent. We may verify your business through FMCSA and other public records and through verification providers, and may limit your account until verification is complete or if it fails. Verification results are our assessment and not a guarantee.
3.4 Suspension. We may suspend or restrict your account while we investigate suspected fraud, impersonation or misuse.
4. GenLogs’ Role
4.1 What GenLogs Does. GenLogs compiles, analyzes and distributes information about motor carriers and provides the Platform, through which a carrier can maintain a profile, provide the information brokers request, and review and sign brokers’ agreements. GenLogs is not a broker, motor carrier, freight forwarder or employment agency. We do not arrange transportation, assign loads, or guarantee that any broker will work with you. We are not a party to any agreement between you and a broker, and we are not the agent of you or of any broker. Nothing on the Platform is legal, tax or insurance advice.
4.2 Beta Program. The Platform is being offered to you as a beta program. It is new and still being developed: features may change, be limited, suspended or withdrawn at any time, and may not work as described. GenLogs may end the beta program, or your participation in it, at any time on notice to you. You may give us feedback and suggestions, and we may use them without obligation to you. If we offer the Platform after the beta, your continued use will be governed by the terms then in effect, which we will notify you of under Section 13 (Changes to These Terms).
4.3 No Endorsement. A profile, verification result, badge, score or completed onboarding is GenLogs’ information or analysis. It is not an endorsement or guarantee of any carrier, and brokers and other customers make their own decisions.
5. Information About Your Business
5.1 GenLogs Data. GenLogs collects, compiles and generates information about motor carriers from public records, including FMCSA records, from its roadside sensor network, from third parties and from its own analysis (“GenLogs Data”), and provides it to its customers. GenLogs does this whether or not a carrier has an account, and your account and these Terms do not limit it. To the extent your consent is required or relevant under any law, you consent to GenLogs collecting, keeping, using and disclosing observations of your vehicles on public roads, whether made before or after you accept these Terms, and linking them to your profile.
5.2 Carrier Submitted Information. “Carrier Submitted Information” means information you provide on the Platform or authorize us to receive from a Connected Account (defined in Section 5.3) or a third party, including your corrections to pre-filled information. You grant GenLogs a non-exclusive, worldwide, royalty-free, perpetual and irrevocable license, transferable and sublicensable through multiple tiers, to collect, store, use, analyze, combine, create derivatives of, display, disclose and distribute Carrier Submitted Information to: operate, secure and improve the Platform; verify carriers and prevent fraud; build your profile and share it as described in Section 5.4 (Sharing You Direct); compare it with GenLogs Data and other sources and report the results to you, brokers and other customers; develop GenLogs’ products, data and models; create aggregated or de-identified data; and comply with law. These uses include services GenLogs provides to brokers, other customers and other third parties, and are not limited to services provided to you.
5.3 Connected Accounts. You may connect an electronic logging device, telematics or similar account (a “Connected Account”). When you do, you direct that provider, and any aggregator GenLogs uses, to make the categories of data shown on the connect screen available to GenLogs, and you consent to that disclosure, for the uses in Section 5.2. If a provider’s or aggregator’s terms describe GenLogs as receiving your data to provide services to you, these Terms govern GenLogs’ use of that data. You authorize us and our providers to use any credentials you give us to retrieve that data.
5.4 Sharing You Direct. By completing onboarding with a broker and maintaining your profile, you direct GenLogs to share your profile, the documents you upload, your verification results, your tax forms and the agreements you sign with the brokers that invited you, and to make your profile information and GenLogs Data about you available to other GenLogs customers. GenLogs will not share your login credentials, API keys, ID images, selfies or biometric data with brokers or other customers.
5.5 Verification Contacts. You authorize GenLogs and its providers to contact your insurance agents, insurers, factoring companies and the other contacts you list, and FMCSA and other public bodies, to verify and update your information; to obtain certificates of insurance and ongoing policy updates, including lapses and cancellations; and to share your coverage status and certificates as described in Section 5.4.
5.6 Tax Information. You consent to GenLogs collecting and using the tax forms and taxpayer identification numbers you provide to complete and keep your W-9, verify your business, share them as described in Section 5.4, and comply with law.
5.7 Biometric Data. Biometric identifiers and biometric information are not Carrier Submitted Information and are not licensed under this Section 5. They are governed solely by the Biometric Notice and Consent, and GenLogs does not sell, lease, trade or otherwise profit from them.
5.8 Withdrawal and Closure. Closing your account, disconnecting a Connected Account or withdrawing an authorization stops new collection from that source. It does not affect information GenLogs has already received, or anything created from it, which GenLogs may keep and use under this Section 5 except as the law requires. GenLogs Data is not affected.
5.9 Ownership. As between you and GenLogs, you keep your rights in Carrier Submitted Information, subject to this Section 5. GenLogs owns the Platform, GenLogs Data, its sensor network and models, and everything derived from Carrier Submitted Information. We may use any feedback you give us without obligation to you.
6. Profiles, Scores and Corrections
6.1 Submissions Are Input. Information you submit or correct is checked against other sources. GenLogs decides what appears on your profile and does not guarantee that a submission will be accepted or will change any score or indicator.
6.2 Scores. GenLogs may generate scores, risk indicators, fraud signals and badges about your business and provide them to brokers and other customers. They are GenLogs’ opinion based on the information available to it, are not statements of fact, and may be incomplete or out of date.
6.3 Corrections. You may correct your Carrier Submitted Information in your profile at any time. If you believe GenLogs Data about you is wrong, write to support@genlogs.io with the specifics; we will review your request in good faith and decide whether to change it. We are not required to show you scores or indicators unless the law requires it.
6.4 Not a Consumer Report. GenLogs is not a consumer reporting agency. Profiles, scores and indicators describe businesses operating as motor carriers and are provided for commercial purposes. Brokers and customers may not use them to decide any individual’s eligibility for personal credit, personal insurance, employment or housing.
7. Broker Agreements and Broker Records
7.1 Hosted Only. A broker may ask you to sign its own broker-carrier agreement on the Platform. That agreement is the broker’s document and is between you and the broker. GenLogs does not draft, review, approve or verify it, is not a party to it, and has no obligations under it.
7.2 Which Terms Govern. A broker’s agreement governs your relationship with that broker. These Terms govern your relationship with GenLogs and do not amend any broker’s agreement.
7.3 Signing and Records. When you sign, GenLogs records your signature, the date and time, and the version you signed, and makes copies available to you and the broker. A signed agreement reflects your profile as of signing; later profile changes do not amend it.
7.4 Broker Records. Brokers may keep their own notes, rules, overrides, approvals, rejections and do-not-use designations about you on the Platform. These are the broker’s records and decisions. GenLogs may store such information for that broker, but does not review, adopt or verify it.
7.5 Release. Your dealings with brokers, including loads, payment and disputes, are solely between you and the broker. To the extent permitted by law, you release GenLogs from claims arising from any broker’s acts or omissions or from any agreement between you and a broker.
8. Communications
8.1 Service Messages. We send messages about your account, verification, invitations and agreements as part of the Platform.
8.2 Invitations. Invitations sent at a broker’s request identify that broker. Each includes a way to stop receiving them.
8.3 Marketing. You may opt out of marketing messages through the unsubscribe link in any of them.
8.4 Text Messages. By giving us a mobile number, you agree that we may send text messages to it for verification codes, sign-in codes and account notices. Message and data rates may apply. Reply STOP to stop; if you do, we may be unable to verify you by text and will offer another method.
9. Disclaimers
9.1 Information. Information on the Platform, including public record data, sensor observations, verification results and information submitted by brokers and other carriers, may be incomplete, inaccurate or out of date. GenLogs does not independently authenticate documents or information submitted by brokers or other users and is not liable for fraudulent, falsified or misappropriated documents or information.
9.2 No Warranties. THE PLATFORM AND ALL INFORMATION ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, GENLOGS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY.
10. Limitation of Liability; Time to Bring Claims
TO THE FULLEST EXTENT PERMITTED BY LAW, GENLOGS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOADS OR BUSINESS, AND GENLOGS’ TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE PLATFORM WILL NOT EXCEED US$100. THESE LIMITS DO NOT APPLY TO GENLOGS’ GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD. Where the law allows, any claim arising out of these Terms or the Platform must be brought within one year after it accrues, or it is barred.
11. Indemnity
You will defend, indemnify and hold harmless GenLogs and its affiliates, officers, directors, employees and agents from claims, losses and expenses, including reasonable attorneys’ fees, arising from (a) information or documents you provide that are false, altered or that you were not entitled to provide; (b) your dealings with brokers; (c) your breach of these Terms or of law; or (d) a claim by your drivers or personnel that you failed to give a notice or obtain a consent required by Section 2 (Your Representations).
12. Term and Closure
12.1 By You. You may close your account at any time in your account settings or by writing to support@genlogs.io.
12.2 By GenLogs. We may suspend or close your account if you breach these Terms, a verification fails, we suspect fraud or misuse, or continuing would create legal or security risk, and for any other reason on 30 days’ notice.
12.3 Effect. Your access ends. Brokers keep the agreements you signed and the information you gave them. GenLogs keeps information under Section 5 (Information About Your Business), and your business may remain in GenLogs’ data products as a historical record, subject to the Privacy Supplement and applicable law.
12.4 Survival. Sections 5 (Information About Your Business), 6 (Profiles, Scores and Corrections), 7.5 (Release), 9 (Disclaimers), 10 (Limitation of Liability; Time to Bring Claims), 11 (Indemnity), 12.3, 14 (Disputes) and 15 (General) survive.
13. Changes to These Terms
We may change these Terms. We will post the new version on the Platform and, for any material change, give at least 30 days’ notice on the Platform before it takes effect. If you use the Platform after a change takes effect, you accept it; if you do not agree, close your account before then. Other changes take effect when posted. The rights you granted under an earlier version continue for information collected while that version was in effect.
14. Disputes
PLEASE READ THIS SECTION CAREFULLY. YOU AND GENLOGS EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO BRING OR TAKE PART IN A CLASS ACTION.
14.1 Informal Resolution. Before starting arbitration or a court case, a party will send the other written notice of the dispute, and the parties will try in good faith to resolve it for 30 days. Notices to GenLogs go to support@genlogs.io and must be designated with DISPUTE NOTICE in the subject line.
14.2 Arbitration. Any dispute arising out of these Terms, the Platform or information about your business that is not resolved informally will be decided by binding arbitration before a single arbitrator administered by JAMS under its rules then in effect. In arbitration a neutral arbitrator, not a judge or jury, decides the dispute, and court review is limited. The seat is Wilmington, Delaware, and hearings are by videoconference unless the arbitrator orders otherwise.
14.3 Individual Claims Only. Disputes will be resolved only on an individual basis, and neither party may bring or take part in a class, collective, consolidated or representative proceeding. Each party waives its right to a jury trial.
14.4 Fees. Each party pays its own attorneys’ fees unless the law provides otherwise. If you are an individual bringing a claim in your personal capacity and not for your business, such as a claim about your own personal information, GenLogs will pay the arbitration fees beyond what you would have paid to file the claim in court. If the arbitrator finds that the claim was frivolous or brought for an improper purpose, you will reimburse those fees. In coordinated filings under Section 14.5, fees are allocated as the JAMS Mass Arbitration Procedures provide. Otherwise, arbitration fees are allocated under the JAMS rules.
14.5 Coordinated Filings. If 25 or more similar demands are filed against GenLogs by or with the help of the same or coordinated counsel, the JAMS Mass Arbitration Procedures apply. Each demand remains an individual arbitration under Section 14.3; the Procedures govern only how the demands are administered. Claimants’ counsel and GenLogs may each be heard on any proposal to group or sequence cases, each claimant may object to the arbitrator assigned to their case, and limitations periods are tolled while the process runs.
14.6 Exceptions. Either party may bring an individual claim in small claims court, seek an injunction in court to protect intellectual property or confidential information or to stop misuse of the Platform, or go to court to compel arbitration or to confirm, modify or vacate an award. Those court actions belong in the state or federal courts in Wilmington, Delaware.
14.7 Severability. If the class action waiver is unenforceable as to a claim, that claim alone will be decided in court, and the jury waiver still applies. A court decides whether the class action waiver is enforceable; the arbitrator decides all other questions of scope and enforceability.
14.8 Governing Arbitration Law. The Federal Arbitration Act governs this Section 14, or, if it does not apply, the Delaware Uniform Arbitration Act.
15. General
15.1 Governing Law. Delaware law governs these Terms, without regard to its conflict of laws rules.
15.2 Entire Agreement. These Terms, the Biometric Notice and Consent and any other authorization you accept on the Platform are the entire agreement between you and GenLogs about the Platform.
15.3 Relationship to Other GenLogs Terms. These Terms govern their subject matter: your carrier account, your profile, and your use of the Platform. Any other terms you have accepted or later accept with GenLogs continue to govern the program, device, feature or service they cover, and are not amended by these Terms.
15.4 Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, reorganization or sale of assets.
15.5 Miscellaneous. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. We may send notices to the email address on your account.
