TERMS OF SERVICE

These Terms of Service (“ToS”) govern your access to and use of the GenLogs website (genlogs.io), the GenLogs platform, the GenLogs API, and any browser extensions, mobile applications, or other tools provided by GenLogs Corporation (“GenLogs,” “we,” “our”) in connection with the foregoing (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these ToS. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these ToS.
If you are a subscriber to the GenLogs platform under a Master Subscription Agreement (“MSA”), these ToS are incorporated into your MSA by reference. In the event of a conflict between these ToS and your MSA or Order Form, the Order Form controls, followed by the MSA, followed by these ToS.
1. DEFINITIONS
“API” means the GenLogs application programming interface and any other data delivery mechanism GenLogs makes available to Subscribers (including webhooks and bulk or file-based delivery), through which Subscribers may programmatically access GenLogs Data.
“Authorized User” means an individual who is authorized by a Subscriber to access and use the Service under the Subscriber’s account.
“Browser Extension” means any browser extension or plugin provided by GenLogs as a companion to the Platform.
“Customer Data” means any data, content, or information uploaded, submitted, or transmitted to the Service by or on behalf of a Subscriber or its Authorized Users, excluding GenLogs Data and De-Identified and Aggregated Data.
“De-Identified and Aggregated Data” means data derived from Customer Data or from use of the Service that has been aggregated or de-identified such that it does not identify a Subscriber or any Authorized User.
“GenLogs Data” means all data, intelligence, analytics, scores, insights, images, and other outputs generated by GenLogs through its sensor network, algorithms, and proprietary data sources, together with aggregated third-party data made available through the Service, including all data delivered through the Platform or API. GenLogs Data includes outputs GenLogs generates using Customer Data as an input, whether or not generated specifically for a Subscriber’s account, but does not include Customer Data itself.
“Platform” means the GenLogs Truck Intelligence platform, including the web application (available at genlogs.io), mobile applications, browser extensions, the GenLogs API, sensor network, and all related tools, dashboards, and interfaces through which Subscribers may access GenLogs Data or the Service.
“Service” has the meaning set forth in the preamble and includes the Platform, API, Browser Extension, and the GenLogs website.
“Subscriber” means an entity that has entered into an MSA with GenLogs for access to the Platform and/or API.
2. ACCESS AND ACCOUNTS
2.1. Website Access. The GenLogs website is available to all visitors. By accessing the website, you agree to these ToS as they apply to website use, including the intellectual property and limitation of liability provisions.
2.2. Platform and API Access. Access to the Platform and API requires a valid subscription governed by an MSA and Order Form. Subscribers are responsible for designating Authorized Users, maintaining the confidentiality of account credentials, and promptly de-provisioning users who no longer require access. Subscribers are responsible for all activity under their accounts, including activity by their Authorized Users.
2.3. Browser Extension. The Browser Extension is available only to Subscribers and their Authorized Users. Use of the Browser Extension is governed by these ToS and the applicable MSA. By installing the Browser Extension, you represent that you are an Authorized User of a Subscriber with a valid subscription.
2.4. Partner and Third-Party Integrations. Where the Service or GenLogs Data is accessed through a third-party application or integration (such as a TMS, CRM, or messaging integration), these ToS apply to that access to the same extent as direct access, and the Subscriber remains responsible for use of the Service through such integrations by its Authorized Users.
2.5. Government and Public Safety Users. These ToS govern commercial use of the Service and do not apply to access by a government, law enforcement, or regulatory agency, which is available only under a separate written agreement with GenLogs.
3. ACCEPTABLE USE AND PROHIBITED CONDUCT
3.1. Data Use and Platform Restrictions. You agree not to, and will not permit any Authorized User or third party to:
a. Use GenLogs Data to train, develop, or improve any artificial intelligence or machine learning model, or submit or make GenLogs Data available to any third-party artificial intelligence or machine learning service or model provider, without GenLogs’ prior written consent;
b. Redistribute, resell, sublicense, or make GenLogs Data available to any third party, except as expressly authorized in the applicable Order Form;
c. Build, compile, or create any database, dataset, or data product derived from GenLogs Data, including through systematic collection, aggregation, or caching of API responses beyond the limits specified in Section 5, except as expressly authorized in the applicable Order Form;
d. Use GenLogs Data for any purpose outside of freight and logistics operations, supply chain and network planning operations, carrier vetting, motor carrier safety and regulatory compliance verification, fraud detection, insurance underwriting (as an input to the Subscriber’s own decision processes, consistent with the GenLogs AI Usage & Governance Policy), or other purposes expressly authorized in the applicable Order Form;
e. Attempt to identify private, non-commercial vehicle operators, drivers, or individuals from sensor data, imagery, or location information;
f. Use location, tracking, or movement data to harass, stalk, surveil, or monitor any individual;
g. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data models of the Service;
h. Circumvent, disable, or interfere with any access controls, rate limits, usage restrictions, or security features of the Service;
i. Access or attempt to access any portion of the Service not authorized under your subscription;
j. Scrape, crawl, or use any automated means to extract data from the Platform other than through the API in accordance with your authorized access;
k. Interfere with or disrupt the integrity or performance of the Service, including any GenLogs sensor infrastructure;
l. Upload or transmit any malicious code, virus, or harmful content;
m. Use the Service to develop a product or service that competes with GenLogs;
n. Use the Service in violation of any applicable law or regulation;
o. Use GenLogs Data or the Service to locate, track, or facilitate the repossession of any commercial motor vehicle, trailer, or other equipment, except in connection with (i) the recovery of equipment that has been reported stolen to law enforcement by its rightful owner, or (ii) a Subscriber locating or tracking equipment that the Subscriber or its customer owns, leases, or has engaged for a shipment, including equipment retained beyond its authorized use;
p. Use GenLogs Data or the Service to conduct persistent or systematic monitoring of the movements or activities of any identified commercial motor carrier, driver, or vehicle, except in connection with the Subscriber’s own commercial relationship with, or bona fide evaluation or planning concerning, that carrier or vehicle for a purpose permitted under subsection (d);
q. Use GenLogs Data or the Service to build or maintain patterns of life or movement profiles concerning any driver or other natural person;
r. Use GenLogs Data or the Service to identify, target, or facilitate enforcement of civil traffic violations against any individual motorist, including for purposes of issuing speeding citations. This subsection does not restrict use permitted under subsection (d);
s. Use GenLogs Data or the Service to identify, locate, target, detain, or facilitate the arrest, deportation, or other immigration-enforcement action against drivers, passengers, or other natural persons based on suspected immigration status;
t. Use GenLogs Data or the Service to profile, identify, or target any commercial motor carrier, driver, or other natural person on the basis of political affiliation, political expression, religious belief, or other constitutionally protected expression or association;
u. Locate, catalogue, compile, or share the locations of GenLogs sensors, or create or maintain any database of GenLogs sensor locations;
v. Publicly post, publish, or distribute any GenLogs imagery without GenLogs’ prior written approval; or
w. Alter or manipulate any document or report generated by the Service (including downloadable PDFs) in a manner that misrepresents its content or origin.
3.2. Enforcement. GenLogs reserves the right to suspend or terminate access to the Service immediately and without prior notice for violations that GenLogs reasonably determines to be material, including unauthorized redistribution of GenLogs Data, attempts to identify individuals from sensor data, or interference with sensor infrastructure. For other violations, GenLogs will provide thirty (30) days’ written notice and an opportunity to cure before suspending access.
4. INTELLECTUAL PROPERTY
4.1. GenLogs IP. GenLogs retains all right, title, and interest in and to the Service, including all software, algorithms, data models, sensor technology, GenLogs Data, and all intellectual property rights therein. Nothing in these ToS transfers any ownership of GenLogs IP to you.
4.2. Customer Data. Subscribers retain all right, title, and interest in and to their Customer Data. Subscribers grant GenLogs a limited, non-exclusive, worldwide license to use, process, and store Customer Data solely for the purpose of providing, securing, and supporting the Service in accordance with the applicable MSA and Data Processing Addendum. Customer Data does not include information that GenLogs collects directly from website visitors, members of the public, or other individuals outside of Subscriber submissions; GenLogs’s handling of any such information is governed by the GenLogs Privacy Policy and is not subject to the license in this Section 4.2.
4.3. Feedback. If you provide GenLogs with suggestions, ideas, enhancement requests, or other feedback regarding the Service (“Feedback”), GenLogs may use such Feedback without restriction or obligation to you.
4.4. GenLogs Data Upon Termination. Upon expiration or termination of a Subscriber’s subscription for any reason, all rights and licenses granted to the Subscriber with respect to GenLogs Data terminate, and the Subscriber shall, within thirty (30) days, permanently delete all GenLogs Data in its possession or control, including any GenLogs Data that has been integrated into, cached within, or exported to the Subscriber’s internal systems or third-party platforms, in accordance with the applicable MSA. Upon GenLogs’ written request, the Subscriber will certify in writing that such deletion has been completed.
5. API-SPECIFIC TERMS
5.1. Rate Limits. API access is subject to rate limits as specified in the applicable Order Form or, if not specified, the default rate limits published in the GenLogs API documentation. GenLogs reserves the right to throttle, queue, or reject API calls that exceed applicable rate limits.
5.2. Caching. Subscribers may cache API responses locally for a period not to exceed twenty-four (24) hours unless a different caching period is specified in the applicable Order Form. Cached data must be refreshed or deleted at the end of the permitted caching period. Subscribers may not use caching to build a persistent local copy of GenLogs Data.
5.3. Attribution. Where GenLogs Data obtained through the API is displayed to the Subscriber’s end users, the Subscriber must include an attribution notice in a form specified by GenLogs, unless the applicable Order Form expressly grants white-labeling rights.
5.4. Credentials. Subscribers are responsible for maintaining the security of their API keys, tokens, and credentials. Subscribers must not embed API credentials in client-side code, publicly accessible repositories, or any environment accessible to unauthorized parties. Subscribers must notify GenLogs immediately upon discovering or suspecting that API credentials have been compromised.
5.5. Versioning and Deprecation. GenLogs may update, modify, or deprecate API versions from time to time. GenLogs will provide reasonable advance notice before deprecating an API version, targeting at least ninety (90) days where practicable. Subscribers are responsible for migrating to current API versions within the deprecation timeline.
6. PRIVACY AND DATA
6.1. Privacy Policy. GenLogs’ information practices are described in the GenLogs Privacy Policy, available at genlogs.io/legal/privacy.
6.2. Data Processing. For Subscribers, the processing of Customer Personal Information is governed by the Data Processing Addendum (“DPA”). Where the Subscriber and GenLogs have separately executed a negotiated DPA, that executed version controls; otherwise, the GenLogs standard DPA available at genlogs.io/legal/dpa applies as provided in the MSA and is incorporated by reference.
6.3. Nature of GenLogs Data.
GenLogs Data consists of commercial vehicle observation data collected by GenLogs’ roadside sensor network and information derived from publicly-available records, including federal government regulatory records, as well as other third-party and proprietary data sources. GenLogs Data identifies commercial motor vehicles and the business entities that operate them. GenLogs does not seek to identify, and does not attempt to associate its observations with, any individual driver or other natural person. GenLogs’ sensors are designed to capture vehicle exteriors only and employ automated privacy filters to prevent incidental capture of driver imagery. This Section 6.3 describes the sensor observation data GenLogs collects. Business contact information that GenLogs makes available through the Service is addressed in Section 6.6.
6.4. Use Restrictions. Subscribers shall not use GenLogs Data to attempt to identify, track, profile, or surveil any individual natural person. The use restrictions in Section 3 apply in full, and GenLogs reserves the right to terminate access for any use that GenLogs determines, in its sole discretion, is inconsistent with the commercial and regulatory compliance purposes of the Service.
6.5. AI Governance. GenLogs uses artificial intelligence and machine learning technologies in connection with the Service, including for sensor data processing, data enrichment, scoring, and risk assessment. GenLogs’s use of AI/ML technologies is governed by GenLogs’s AI Usage & Governance Policy, available at genlogs.io/legal/ai-policy (as may be published and updated from time to time). Subscribers acknowledge that AI-generated scores, assessments, and other outputs provided through the Service are informational tools and are not intended to serve as the sole basis for any decision with legal, financial, or safety consequences. Subscribers are responsible for exercising independent judgment and conducting their own due diligence when using GenLogs Data in decision-making processes.
6.6. Contact Data. Certain features of the Service make business contact information for motor carrier personnel available to Subscribers. Access to and use of that information is subject to additional terms presented for acceptance within the Service or through other written agreements, and Subscribers may use it only in accordance with those terms and applicable law, including the CAN-SPAM Act and the Telephone Consumer Protection Act.
7. DISCLAIMER OF WARRANTIES
The Service, including all GenLogs Data, is provided “as is” and “as available.” GenLogs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. GenLogs uses commercially reasonable efforts to provide GenLogs Data that is accurate, complete, and current, but GenLogs does not warrant that GenLogs Data will be free from errors or omissions or that the Service will be uninterrupted, error-free, or secure. GenLogs Data is provided for informational purposes and is not a guarantee of any carrier’s identity, status, location, compliance, or creditworthiness. Subscribers should independently verify information obtained through the Service before making business decisions.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless GenLogs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these ToS; (b) your violation of the acceptable use restrictions in Section 3; (c) your violation of any applicable law or regulation in connection with the Service; or (d) any third-party claim arising from your use of GenLogs Data, including claims related to privacy, data protection, or intellectual property infringement resulting from your unauthorized use or redistribution of such data.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, GenLogs’ total aggregate liability arising out of or related to these ToS, whether in contract, tort, or otherwise, will not exceed the greater of (a) the fees paid by Subscriber in the twelve (12) months preceding the claim or (b) one hundred dollars ($100) for non-Subscribers.
In no event will GenLogs be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, regardless of whether GenLogs has been advised of the possibility of such damages.
For Subscribers with an MSA, the limitation of liability provisions in the MSA supersede the limitations set forth in this section to the extent they conflict.
10. MODIFICATIONS
GenLogs may modify these ToS at any time. GenLogs modifies these ToS primarily to reflect new features and services, changes in law or regulatory guidance, and evolving security and operational practices. GenLogs will provide at least thirty (30) days’ advance notice of material changes by email (for Subscribers) and by posting the updated ToS on the GenLogs website with a revised “Last Updated” date. Your continued use of the Service after the effective date of the modified ToS constitutes acceptance of the modifications. GenLogs will not materially diminish a Subscriber’s rights or materially increase a Subscriber’s obligations while a Subscriber’s subscription is in effect by modifying these ToS, the DPA, the AI Usage & Governance Policy, or other online terms, except where the modification is required to comply with applicable law.
11. GENERAL PROVISIONS
11.1. Governing Law. These ToS are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these ToS will be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
11.2. Entire Agreement. For website visitors, these ToS constitute the entire agreement between you and GenLogs regarding the Service. For Subscribers, these ToS are part of the agreement as specified in the MSA.
11.3. Severability. If any provision of these ToS is held to be unenforceable, the remaining provisions will remain in full force and effect.
11.4. Waiver. No waiver of any provision of these ToS will be effective unless in writing and signed by GenLogs.
11.5. Assignment. You may not assign your rights or obligations under these ToS without GenLogs’ prior written consent. GenLogs may assign these ToS in connection with a merger, acquisition, or sale of all or substantially all of its assets.
11.6. Survival. The following provisions will survive any termination or expiration of these ToS or your access to the Service: Sections 1 (Definitions), 3 (Acceptable Use), 4 (Intellectual Property), 6 (Privacy and Data), 7 (Disclaimer of Warranties), 8 (Indemnification), 9 (Limitation of Liability), and 11 (General Provisions).
